DTEN AV BAR TRADE-UP PROGRAM

Terms & Conditions

• DTEN AUDIO VIDEO (AV) BAR TO D7 TRADE-UP PROGRAM
  1. The DTEN Audio Video (AV) Bar Trade-Up Program (“Trade-Up Program”) is managed by DTEN and/or one of its agents (“we”; “us”; “DTEN”; “Partner”; “Reseller”).
  2. All Trade-Up eligible Audio Video (AV) bar devices (“Trade-Up Products”) for a new D7 for Zoom 55” (SKU: DB50455E) unit (“New Purchased Products”) at a discounted price, $1,000 off the promotional MSRP of $3,199 subject to the terms set out herein (the “Trade-Up Terms”).
  3. All Trade-Up applications must be registered using the DTEN Trade-Up webforms located at https://www.dten.com/trade-in-reseller for resellers/ or https://www.dten.com/trade-in/ for End Users. All required fields must be completed.
  4. All applications will be reviewed to determine if the AV bar meets the program requirements which include that the bar include speakers, camera and microphone. DTEN reserves the right to grant exceptions.
  5. This promotion available only in the US. The Trade-Up Program will run until 11:59pm PST June 30, 2023.
  6. This Trade-Up promotion CAN be stackable with DTEN for Zoom 55” promotional MSRP price. It cannot be stacked with any other DTEN promotion.
  7. An emailed Proof of Destruction (PoD) certificate for the Trade-Up Audio Video (AV) bar must be provided within 45 days. Failure to produce required proof will result in the purchaser being invoiced for the total promotional MSRP price.
  8. Promotion is not applicable to any previously “booked” orders, orders placed but not yet received or backordered products.
  9. This program may be altered, changed, extended or ended at any time by DTEN and/or one of its agents, without notice.

• END USER PRIVACY CLAUSE
  1. As part of the process flow, we require certain data to identify the End-User / Purchaser.
  2. The data collected shall include:
     • End-User name
     • Company name
     • Company address with State/country/region
     • Company email address
     • Trade-Up product make, model and serial number
  3. Information collected using this form will be held at: 97 East Brokaw Road #180 San Jose, CA 95112, USA.
  4. DTEN processes this data for its legitimate interest of securing its products, informing the Reseller and/or the End-User about DTEN’s product lifecycle management and the provision of DTEN services in relation to the products.
  5. DTEN will restrict the use of this data to inform the data subject on (i) important product and software updates and notifications; (ii) product lifecycle information (end-of-life, end-of-service, new product announcements); (iii) warranty and/or service contract information. 
  6. DTEN is responsible for the processing of this data. DTEN may, at its discretion, share this data with other companies associated with DTEN, in compliance with the stated DTEN Privacy policy.

• TRANSFER & RISK OF TITLE
  1. The delivery of the Trade-Up Product to the designated carrier shall be final and effective to transfer title of such product to the designated location free and clear of all liens and encumbrances.
  2. Reseller agrees to execute any documents and take any actions necessary to effect such transfer of ownership.

• LOGISTICS
  1. End-user/reseller submits a completed web form application located at https://www.dten.com/trade-in-reseller/ or https://www.dten.com/trade-in/.
  2. Completed form submissions are reviewed and considered for qualification by DTEN.
  3. Once approved for submission, DTEN will generate a one-time use promotional code, per approved transaction to be shared with the end-user/reseller.
  4. End-user/reseller receives promotional code to be used for redemption of $1000 discount towards purchase of a new D7 for Zoom (SKU: DB50455E) unit.
  5. Referenced Audio Video (AV) bar shall be delivered to e-waste or electronics destruction organizations. Resultant service MUST produce Proof of Destruction (PoD).
  6. Proof of Destruction (PoD) MUST be provided to DTEN, inc. via email to <pod@dten.com> no later than 45 days after completed purchase of a new D7 for Zoom unit with promotional discount code . Failure to provide the required proof will result in being invoiced for the total promotional MSRP price.

• LIABILITY
  1. Our aggregate liability in connection with these terms and the Trade-Up Program, regardless of the form of the action or legal theory giving rise to such liability shall not exceed the amount paid for the New Purchased Products. We shall not be liable to you for any indirect, exemplary, special, punitive, consequential or incidental damages of any kind (including without limitation loss of data, cost of replacement goods, equipment downtime or lost profits), even if the End User/Reseller has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited warranty or remedy.

• DTEN RESELLERS

1. 1. The Trade-Up Program allows DTEN Registered Partners and DTEN Registered Resellers to offer their customers the opportunity to trade in eligible Trade-Up Products for a new D7 for Zoom 55” (SKU: DB50455E) unit at a discounted price subject to the “ Trade-Up” terms.
   2. All required fields must be completed at https://www.dten.com/trade-in-reseller by the reseller, including required End User information, Trade-Up product make, model and serial numbers. 
   3. This  Trade-Up promotion CAN be stackable with DTEN for Zoom 55” promotional MSRP price but cannot be stacked with any other DTEN promotion or Deal Registration incentive offers.
   4. As part of the process flow, we require certain data to identify the End-User / Purchaser and the Reseller shall take care to inform the End-User (and, to the extent required, obtain the End-User’s consent) of our privacy policy.
   5. The data collected shall include:
      • End-User name
      • Company name
      • Company address with country/region
      • Company email address
      • Reseller contact details
      •  Trade-Up product make, model and serial number
      • Professional contact details: email address and telephone number
   6. Promotion restricted to US DTEN Registered Partners and US DTEN Registered Resellers.

• FINAL CLAUSES

1. 1. Neither party shall be liable for any delay or failure to perform under these terms if caused by conditions beyond its reasonable control.
   2. Program will run until 11:59pm PST June 30, 2023.
   3. The DTEN AV Bar Trade-Up Program is a one-to-one program, meaning the Trade-Up/destruction of one AV bar results in one discount towards the purchase of one D7 for Zoom unit.
   4. In no instances may more than one discount be applied towards the purchase of a new D7 for Zoom unit.
